Module B –
Digital & Design Terms

This Module B – Digital & Design applies to the provision of creative, branding, and digital marketing services by the Supplier to the Customer. This Module is to be read in conjunction with Module C – Professional Services and the MSA. Where applicable, definitions used in the MSA or Module C apply equally to this Module.

The Professional Services Module C may apply to Services under this Module. In this Module:

(a)      “Creative Deliverables” means all branding, visual, and written marketing assets produced for the Customer as outlined in a SOW;

(b)      “Brand Identity” means a cohesive set of brand elements including logo, colour palette, typography, and image style that establish a visual representation of the Customer’s brand;

(c)      “Marketing Campaigns” means digital or print campaigns developed and executed by Supplier, which may include assets for advertising, social media, EDMs, and event promotions;

(d)      “Content Strategy” means the structure and planning of written, visual, and interactive assets across platforms, consistent with the Customer’s brand tone and objectives; and

(e)      “Specification” means the documented design, tone, content, and functional requirements for each deliverable as described in a SOW.

1.      Scope of Services

The Services under this Module may include, but are not limited to: the creation of brand identity systems, graphic design, digital advertising assets, content writing for campaigns, social media design templates, promotional materials, and other marketing collaterals as requested by the Customer and confirmed in a Statement of Work.

2.      Project Planning and Discovery

The Supplier will conduct discovery and briefing sessions to gather requirements, understand the Customer’s brand objectives, marketing goals, target audiences, tone of voice, and visual preferences. A creative brief or strategy document will be produced and confirmed by the Customer before design development commences and included in an agreed SOW.

3.      Creative Development Process

The Supplier will present initial concept drafts for the Customer’s review and feedback. Up to two (2) revision rounds will be included per deliverable, unless otherwise specified in the Statement of Work. Final approved assets will be delivered in industry-standard formats suitable for digital and print use, as applicable.

4.      Design Specifications and Deliverables

Design Specifications may include the following deliverables, depending on the scope confirmed in a SOW:

(a)      Logo Design and Visual Identity System;

(b)      Brand Style Guide (including colour palette, typography, iconography, image treatments);

(c)      Marketing Campaign Assets (digital ads, email banners, landing page hero images);

(d)      Social Media Templates (for Instagram or Facebook, etc.);

(e)      Presentation Templates or Pitch Decks;

(f)       Promotional Flyers, Brochures, and Print Assets; and

(g)      Video Thumbnails, Digital Posters, and Web Banners.

5.      Customer Responsibilities

The Customer will provide all required content, brand assets, and platform access in a timely manner to enable the Supplier to perform the Services. The Supplier shall be responsible for ensuring the accuracy, correctness, legality, and appropriateness of any materials provided to the Supplier, including but not limited to logos, photographs, and marketing copy.

6.      Approvals and Finalisation

All deliverables will be submitted to the Customer for review and approval. Upon final written approval by the Customer, deliverables shall be deemed ‘Approved Content’. The Supplier will not be responsible for any errors or omissions in Approved Content and shall not be liable for any claims, losses or damages relating to such content once it is approved.

7.      Licensing and Usage Rights

Upon full payment of all fees due under the relevant Statement of Work, the Supplier will grant the Customer a non-exclusive, non-transferable, worldwide, royalty-free licence to use the final Approved Content solely for the Customer’s internal business and marketing purposes. This licence excludes the right to resell or sublicense the content to third parties unless explicitly agreed in writing.

8.       Third-Party Materials and Fonts

Where stock imagery, licensed fonts, or third-party materials are included in the deliverables, the Supplier will notify the Customer and provide licensing terms where applicable. The Customer will be responsible for ongoing compliance with any such third-party licence terms following the date of issue.

9.      Hosting and Platforms (If Applicable)

Where creative assets are intended for use within online platforms (e.g., social media ads, website banners), the Customer is responsible for ensuring that the relevant hosting environments support the formats and technical requirements of those assets. The Supplier may provide guidance but will not be liable for platform-level restrictions or rejections.

10.  Change Control and Additional Work

Any changes to the approved creative brief, scope of work, deliverables or project timelines must be mutually agreed in writing through a Change Request. Where the Customer requests additional work beyond what is documented in a SOW, the Supplier will quote the additional scope separately and such work will only proceed once accepted by both parties in writing in a formal Change Request or a subsequent SOW.

11.  Defects and Revisions

Subject to Clause 3 of this Module B, the Supplier agrees to address and correct any material errors or defects in final deliverables that do not meet the agreed specifications at no additional charge, provided such issues are raised within ten (10) Business Days of issue. Revisions or changes that fall outside the agreed SOW or exceed included revision rounds may be subject to additional fees.
